Terms of Service

These terms govern your access to and use of the GroundCheck site and service. Please read them carefully — by using the site, you agree to them.

Effective date: [ EFFECTIVE DATE ]  ·  Last updated: [ EFFECTIVE DATE ]

Agreement. These Terms of Service ("Terms") are a binding agreement between you and [ LEGAL ENTITY NAME ] ("GroundCheck," "we," "us," or "our"), covering www.groundcheckfmcsa.com and the related GroundCheck service (together, the "Service"). If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for it.

01Acceptance and changes

By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. We may update these Terms from time to time; the "Last updated" date will change and, for material changes, we will provide reasonable notice. Continued use after an update means you accept the revised Terms.

02The Service; informational nature

GroundCheck helps freight brokers, 3PLs, insurers, and their teams evaluate motor carriers and produce a record of the selection decision. This site presents information about the Service and includes an interactive demonstration. Demonstration data and on-screen figures are illustrative and do not describe any real carrier unless expressly stated.

03Not legal, insurance, or professional advice

The Service supports your own judgment; it does not replace it. GroundCheck outputs, scores, flags, and records are decision-support tools. They are not legal advice, underwriting advice, or a guarantee about any carrier's safety, fitness, authority, or future conduct. You remain solely responsible for your carrier-selection, contracting, and business decisions and for complying with the laws and regulations that apply to you.

04Third-party and public data

The Service incorporates public and licensed records, including data from the Federal Motor Carrier Safety Administration (FMCSA) and other sources. That data originates with third parties and may be incomplete, delayed, or contain errors. We do not warrant the accuracy, completeness, or timeliness of third-party data, and we are not responsible for third-party content, systems, or services you access through the Service.

05Acceptable use

You agree not to:

  • Use the Service to violate any law or regulation, or to infringe anyone's rights;
  • Reverse engineer, scrape, resell, or create a competing product from the Service or its data except as permitted by law;
  • Interfere with or disrupt the Service, probe its security, or attempt unauthorized access;
  • Misrepresent your identity or submit false information through our forms;
  • Use outputs to unlawfully discriminate against any carrier or individual.

06Accounts, pilots, and communications

Some features are offered under a separate pilot or subscription agreement; where such an agreement exists, it controls over these Terms to the extent of any conflict. When you submit a form or request access, you agree we may contact you about your inquiry and the Service.

07Intellectual property

The Service, including its software, design, text, and the GroundCheck name and marks, is owned by GroundCheck or its licensors and is protected by intellectual-property laws. Certain detection methods are the subject of one or more pending patent applications. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended business purpose. No other rights are granted.

08Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RESULT WILL BE ACCURATE OR RELIABLE.

09Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GROUNDCHECK AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

10Indemnification

You agree to indemnify and hold harmless GroundCheck from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

12Governing law and disputes

These Terms are governed by the laws of the State of [ GOVERNING-LAW STATE ], without regard to its conflict-of-laws rules. The state and federal courts located in [ GOVERNING-LAW STATE ] will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to their jurisdiction and venue.

13Miscellaneous

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any pilot or subscription agreement and our Privacy Policy, are the entire agreement between you and GroundCheck regarding the Service.
